A confidentiality agreement (usually titled an NDA, Non-Disclosure Agreement, or CDA) is often the first binding agreement entered into between persons forming (or considering forming) a business relationship. The agreement’s general purposes are to:

• safeguard the trade secrets, confidential information and property of one or more parties to the contract from disclosure, misuse and misappropriation, whether by another party or occurring as a result of any action or inaction by another party; and

• provide adequate remedies if a party suffers damages (or might suffer damages) as a result of a prohibited disclosure, use, or appropriation of its trade secrets, information or property.
