Most entrepreneurs who use an internet service to start their single owner businesses end up spending substantially more than expected on “optional services.” For about the same total fee, Contract Solutions will form your Massachusetts or New Hampshire LLC or corporation, provide proper Operating Agreements or Incorporation Documents (including by-laws and corporate records), and will also provide a consultation on business practices that will help you keep your personal liability limited. Email Business Startup at Contract Solutions.

If you are starting a multi-owner enterprise, why let a “question-able” web-based computer program put your assets at risk. Call Contract Solutions or email Business Startup at Contract Solutions. Contract Solutions will form your Massachusetts or New Hampshire LLC or corporation, provide proper Operating Agreements or Incorporation Documents (including by-laws and corporate records), and if wanted, will also provide a consultation on business practices that will help you keep your personal liability limited.

Consider Creating an LLC.

The LLC (Limited Liability Company) has become the preferred small business entity type for entrepreneurs, and for good reasons. It is the easiest entity type to maintain. Business owners operating as sole proprietors (as opposed to as members of an LLC or shareholders in a corporation) are personally liable for the debts of the business. Not so for LLC owners. The most basic reason for creating an LLC is to protect personal assets when claims are made against the business. A written Operating Agreement is similar in purpose to corporate bylaws. It defines the rules under which the business operates. Even if you will be the sole owner (“member”), it is in your best interest to have and adhere to a written operating agreement. When forming a single member LLC, we prepare an operating agreement. We also provide a consultation to answer questions regarding the agreement and the necessary measures for preserving limited liability status. We can also point you in the right direction for obtaining a tax id number if you need information about that; or we can do that for you.

Buying a Business: If you are buying a company, we can help you sort out the complexities of the transaction. Depending on your needs, we are prepared to help with:

  • Business Purchase & Sales Agreements
  • Letters of Intent
  • Representation in Negotiations
  • Due Diligence Guidance and Assistance
  • Confidentiality and Non-Compete Agreements
  • Promissory Notes and Payment Agreements

If you are selling your business, we are available to assist you with:

  • Business Purchase & Sales Agreements
  • Letters of Intent
  • Representation in Negotiations
  • Confidentiality and Non-Compete Agreements
  • If you plan to provide seller financing to your buyer, we can assist with Promissory Notes and Payment Agreements, as well as guarantee forms and security interests in the buyer’s collateral.

The last stage of any business is winding up the business affairs.

Your involvement in your business will probably end at an expected time, but it may end suddenly and abruptly. Either way, because the business is very much a “person” in the eyes of the government, there are necessary final tasks.

Contract Solutions has the knowledge and skills to help you (or a person you have designated) prepare and execute a plan for shutting down your business and winding up your business affairs no matter how the business is owned.

Contact Us if you have concerns about closing your business.
